Terms of Service

These Terms of Service ("Terms") govern your use of the Scrye platform at scrye.co, operated by Scrye Labs Pty Ltd (ACN 698 335 741, ABN 42 683 950 390) ("we", "us", "our"), a company registered in New South Wales, Australia.

By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use Scrye. These Terms form a legally binding agreement between you and Scrye Labs Pty Ltd.

Scrye is intended for users aged 18 and over. By using the platform, you represent that you are at least 18 years old and have the legal capacity to enter into binding agreements.

2. Description of service

Scrye is a two-sided marketplace that connects brands with content creators. Brands post campaign briefs; creators connect their Instagram and TikTok accounts to display their content portfolios. Scrye uses AI to match brands with creators whose content naturally aligns with the brief, and facilitates collaboration including negotiation, contract signing, content delivery, and payment.

Scrye is a platform intermediary. We facilitate transactions between brands and creators but are not a party to agreements made between them. We do not guarantee any specific outcome from using the platform.

3. User accounts and eligibility

To use Scrye you must:

  • Be at least 18 years old
  • Provide accurate, complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised access to your account

Scrye is available to Australian and international users, subject to applicable local laws. It is your responsibility to ensure that using Scrye complies with the laws of your jurisdiction.

You may hold one brand workspace per legal business entity, and one creator account per individual. You may not create multiple accounts to circumvent suspensions or platform limits.

4. Creator obligations

As a creator on Scrye, you agree to:

  • Connect only social accounts that you own and have the right to use on the platform
  • Accurately represent your audience, engagement, and content — including not artificially inflating follower counts or engagement metrics
  • Deliver content that meets the agreed brief and quality standard within the agreed timeframe
  • Disclose sponsored content in accordance with applicable advertising standards, including ACCC guidelines in Australia
  • Not represent yourself as affiliated with a brand beyond the scope of the agreed campaign

5. Brand obligations

As a brand on Scrye, you agree to:

  • Post campaign briefs that are accurate, lawful, and do not require creators to produce illegal, misleading, or harmful content
  • Pay agreed fees in full and on time — funds are held in escrow via Stripe and released upon delivery approval
  • Provide timely, constructive feedback on submitted content within the agreed review window
  • Not circumvent the platform by transacting with creators you found on Scrye outside of the platform during an active or recently concluded engagement

6. Intellectual property

Creators retain full ownership of the content they create. By posting content on Scrye or connecting social accounts, creators grant Scrye a limited, non-exclusive licence to display their content within the platform for the purpose of brand–creator matching.

When a creator delivers content to a brand under an engagement, the brand receives the usage rights specified in the agreed contract. Unless the contract specifies otherwise, usage rights are limited to the duration and channels stated, and full ownership remains with the creator.

Scrye's platform, including its AI matching engine, design, code, and branding, is owned by Scrye Labs Pty Ltd. You may not reproduce, copy, or distribute any part of the platform without our written permission.

7. Platform fees and payments

All payments on Scrye are processed by Stripe. By using the payment features of the platform, you agree to Stripe's Terms of Service in addition to these Terms.

  • Escrow: Brand funds are held in escrow upon contract signing and released to the creator when the brand approves delivery, or after the review window expires without action.
  • Platform fee:Scrye charges a platform fee on each completed engagement. The current fee structure is displayed in your account settings. Fees may change with 30 days' notice.
  • Brand subscriptions: Some brand features require a paid subscription billed monthly via Stripe. Subscriptions auto-renew and may be cancelled at any time from your account settings, effective at the end of the current billing period.
  • Refunds: Refunds are handled in accordance with our refund policy and Australian Consumer Law. Subscription fees are non-refundable except where required by law.

8. Prohibited conduct

You must not use Scrye to:

  • Violate any applicable law or regulation
  • Harass, threaten, or harm other users
  • Post false, misleading, or defamatory information
  • Artificially inflate social metrics or misrepresent audience quality
  • Attempt to access or probe the platform beyond your authorised access
  • Scrape, copy, or harvest platform data without written authorisation
  • Use the platform to facilitate transactions that bypass Scrye's payment system
  • Introduce malware, viruses, or other harmful code
  • Impersonate another person, business, or brand

Breach of this section may result in immediate account suspension and, where applicable, referral to law enforcement.

9. Termination

You may close your account at any time by emailing adamchew2607@gmail.com. Account closure does not affect obligations arising from active or recently completed engagements.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or where required by law. Where suspension is not urgent, we will provide 14 days' notice and an opportunity to remedy the breach.

Upon termination, your right to access the platform ceases immediately. Data retention following termination is governed by our Privacy Policy.

10. Limitation of liability

To the maximum extent permitted by Australian Consumer Law and other applicable legislation, Scrye Labs Pty Ltd's total liability to you for any claim arising from your use of the platform is limited to the fees paid by you to Scrye in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), including consumer guarantees for services.

Scrye is not liable for:

  • Disputes between brands and creators arising from campaign execution
  • The accuracy of AI-generated matches, readings, or recommendations
  • Loss of data, revenue, or opportunity resulting from platform downtime
  • Content produced by creators that does not meet a brand's expectations

11. Indemnity

You agree to indemnify and hold harmless Scrye Labs Pty Ltd, its directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the platform, or any content you submit.

12. Governing law

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from these Terms or your use of the platform is subject to the exclusive jurisdiction of the courts of New South Wales, unless applicable law requires otherwise.

If you are located outside Australia, you acknowledge that Australian law governs your use of the platform and that data may be processed in Australia.

13. Changes to these Terms

We may update these Terms from time to time to reflect changes in the platform, applicable law, or our business. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

We will maintain a record of previous versions of these Terms and make them available on request.
